The leading sectors are technology, media &amp; telecoms (TMT), energy &amp; utilities and financial services, which account for 65% of the value of the Italian M and A market. In particular, the TMT sector saw strong momentum in IT and software transactions, with numerous strategic acquisitions that strengthened the competitiveness of Italian companies.<\/p>\n\n\n\n<p>The Italian <strong>Software as a Service (SaaS)<\/strong> market continues to show signs of growth and consolidation. According to the <strong>Cloud Transformation Observatory of the Politecnico di Milano<\/strong>, in 2025 the SaaS sector reached a value of <strong>\u20ac1.532 billion<\/strong>, with growth of <strong>+19% <\/strong>compared to the previous year. This figure confirms the dynamism of the sector and its central role in the digital transformation of Italian companies.  <\/p>\n\n\n\n<p>The presence of <strong>over 26,000 software companies<\/strong>, <strong>more than 83% of which have fewer than 10 employees, <\/strong>represents widespread entrepreneurial wealth. This structure can become fertile ground for <strong>new forms of collaboration and aggregation,<\/strong> capable of generating shared value. <\/p>\n\n\n\n<p><strong>Mergers between start-ups and innovative SMEs<\/strong>, through M and A transactions, are the key to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>strengthen the competitiveness<\/strong> of the sector, creating more robust and attractive players;<\/li>\n\n\n\n<li><strong>generate operational synergies <\/strong>and increase productivity;<\/li>\n\n\n\n<li><strong>increase appeal to investors and large companies<\/strong> interested in solid, productive businesses;<\/li>\n\n\n\n<li><strong>promoting sustainable exits<\/strong> that reward the work of founders and investors;<\/li>\n\n\n\n<li><strong>stimulating the real economy <\/strong>through reinvestment and new initiatives.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>The strategic role of venture capital<\/strong><\/h2>\n\n\n\n<p>In the first half of 2025, <strong>Italian venture capital<\/strong> recorded <strong>153 transactions<\/strong> (+18.9% compared to 2024) for a total of <strong>\u20ac443 million invested<\/strong>. Despite a slight decline in amounts compared to the previous year, the number of rounds is growing, a sign of a dynamic and evolving ecosystem. The ICT sector, together with the green economy, healthtech and fintech, is among the most active, accounting for 20% of registered innovative start-ups.  <\/p>\n\n\n\n<p>In this context, <strong>venture capital <\/strong>can play an even more decisive role, not only as a driver of organic growth, but also as a <strong>facilitator of strategic M and A transactions<\/strong> that consolidate the market and create value in the medium to long term. Mergers between start-ups and innovative SMEs offer multiple advantages:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>greater competitiveness<\/strong> thanks to reduced fragmentation;<\/li>\n\n\n\n<li><strong>operational synergies <\/strong>that improve efficiency and profitability;<\/li>\n\n\n\n<li><strong>attractiveness for large companies<\/strong> interested in solid and productive businesses;<\/li>\n\n\n\n<li><strong>sustainable exits <\/strong><\/li>\n<\/ul>\n\n\n\n<p>Venture capital, therefore, is not only a driver of organic growth, but can also become a true <strong>enabler of mergers and acquisitions <\/strong>by actively promoting M and A transactions.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Towards an integrated and competitive ecosystem<\/strong><\/h2>\n\n\n\n<p>In order to build an Italian VC and M and A ecosystem that is competitive at an international level, it is essential to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>promote public policies <\/strong>that encourage partnerships between start-ups and SMEs;<\/li>\n\n\n\n<li><strong>promote innovative financial instruments<\/strong> that facilitate consolidation operations;<\/li>\n\n\n\n<li><strong>actively involve institutional investors<\/strong> and pension funds;<\/li>\n\n\n\n<li><strong>promote successful exits<\/strong> as virtuous examples to be replicated.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Conclusion<\/strong><\/h2>\n\n\n\n<p>Mergers and acquisitions are <strong>key to the growth<\/strong> of Italian start-ups and the development of a solid and competitive venture capital market. Through a structured and shared growth strategy, it will be possible to transform fragmentation into strength, generating innovation, employment and value on a global scale. <\/p>\n\n\n\n<p><em>Lucia
