Although the company is headquartered in Milan, much of its acquisitions and revenue are linked to global consumer internet brands, making a US listing a logical choice. More broadly, the IPO will serve as a further test of the public market\u2019s interest in AI-based consumer software companies. Investors have largely rewarded companies able to demonstrate that AI is a driver of productivity, monetisation and operational leverage, rather than merely a product feature. Given Bending Spoons\u2019 strategy of acquiring, optimising and growing digital platforms, the market\u2019s reception could provide an important signal as to how investors will value consolidation stories in the consumer AI and software sector going forward. For Europe, a successful listing would also reinforce the region\u2019s tech ecosystem\u2019s growing ability to produce companies capable of achieving multi-billion-dollar valuations and access to global capital markets. The flight to US stock exchanges is now commonplace for companies at an advanced stage of development, where the disparity in valuations between the two markets is even more pronounced for artificial intelligence firms. According to PitchBook\u2019s \u2018State of European AI\u2019 report, the total potential liquidity generated by just the <a href=\"https:\/\/www.startupbusiness.it\/en\/the-biggest-tech-ipo-rush-in-history-is-about-to-begin\/173706\/\" target=\"_blank\" rel=\"noreferrer noopener\">top 10 AI companies preparing for an IPO in the US<\/a> would amount to \u20ac1.6 trillion, compared to \u20ac65.5 billion in Europe.      <\/p>\n\n<p class=\"wp-block-paragraph\">PitchBook\u2019s valuation estimate for Bending Spoons (<a href=\"https:\/\/cdn.roxhillmedia.com\/production\/email\/attachment\/1820001_1830000\/ba3a9ed5e4bf4f2cf300e95975641eaaf5709b76.pdf\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">see profile here<\/a>), as at 8 June 2026, stands at \u20ac14.04 billion, with a high degree of reliability.<\/p>\n\n<p class=\"wp-block-paragraph\">The Milan-based company has issued a statement announcing that it has publicly filed <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/2004711\/000110465926071170\/tm2613674-7_f1.htm\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">a registration statement on Form F-1 with the U.S. Securities and Exchange Commission<\/a> (&#8220;SEC&#8221;) in connection with a proposed initial public offering of its ordinary shares. <\/p>\n\n<p class=\"wp-block-paragraph\">The timing of the offering, the number of shares to be offered and the price range for the offering have not yet been determined. Bending Spoons has filed an application to list its ordinary shares on the Nasdaq Global Select Market under the ticker symbol &#8220;BSP&#8221;. Goldman Sachs International, J.P. Morgan and Allen &amp; Company LLC are acting as joint lead book-running managers for the offering.
