Genenta Science, which is in the process of evolving into Saentra Forge – a strategic industrial consolidator focused on biotechnology, defence, aerospace and technologies related to Italian national security – has announced that it has signed definitive agreements with Sòphia High Tech, an Italian company that manufactures critical components for European space and defence programmes.
Genenta plans to invest a total of €6 million in two tranches. Upon completion of the first tranche, Genenta will acquire a 19.9% stake, whilst upon completion of the second tranche it will hold a 51% stake in Sòphia HT. It is expected that the proceeds will be used by Sòphia HT to significantly increase production capacity, accelerate technological differentiation and strengthen market penetration.
Sòphia HT joins Genenta with a strong net cash position and an already profitable operating profile. In its latest financial statements filed for the 2024 financial year, Sòphia HT reported total revenue and other operating income of approximately €6.29 million and an EBITDA of approximately €0.96 million. Based on preliminary internal data currently being finalised for the 2025 financial year, Sòphia HT expects turnover of approximately €8 million. In the medium term, Sòphia HT currently expects to approximately double its 2024 revenue base by 2027, whilst expanding its workforce from the current 44 employees to approximately 70 by 2027. Genenta expects to bring added value to Sòphia HT by providing greater visibility, robust financial controls, executive management and leadership. The trajectory of EBITDA growth is structurally underpinned by a multi-year efficiency programme aimed at margin growth, driven by the progressive insourcing of high-value processes, greater utilisation of resources and a more disciplined cost structure as scale increases.
